Terms & Conditions
1. Subject of the Agreement
The following general terms and conditions apply to all legal transactions
of Enriquez Engineering , hereinafter referred to as "Enriquez Engineering,"
with its contracting partners, hereinafter referred to as the "customer,"
and regulate their legal relationship. Any conditions deviating from these
general terms and conditions, as set forth by the customer, will be accepted
by Enriquez Engineering only upon separate and written acknowledgment.
Enriquez Engineering reserves the right to modify these Conditions at any
time without notification, unless otherwise announced with immediate effect.
2. Remuneration:
Enriquez Engineering acts on behalf of and in the name of the customer
towards third parties (such as advertisers, printing companies, publishing
companies). Invoices from third-party suppliers are issued in the customer's
name and sent to Enriquez Engineering for verification and forwarding.
Unless otherwise agreed between the parties, payments are due within 30 days
of the invoice date. In case of a delay exceeding 60 days, Enriquez
Engineering is entitled to default interest at the minimum rate prescribed
by law without further notice. The right to claim additional damages beyond
this provision remains unaffected. Offsetting customer claims against those
of Enriquez Engineering is not permitted. The customer is responsible for
any reminder costs and costs related to extrajudicial legal expenses. If no
fixed price is explicitly agreed upon, the customer shall reimburse the
actual expenses (including expenses). The actual expenses will be calculated
after the delivery of the project results unless otherwise agreed in
writing. Enriquez Engineering may invoice the customer for partial payments.
These partial services may not be available in a usable form for the
customer and may serve as a working basis for Enriquez Engineering. In the
event of contract termination or cancellation before the conclusion of the
contract and/or if the conditions for service provision change, the customer
shall reimburse Enriquez Engineering for all costs already incurred and
release Enriquez Engineering from any obligations to third parties. All
prices mentioned in offers and orders, as well as the resulting fees to be
paid, are understood to be exclusive of legally applicable value-added tax
at the current rate. Any objections to remuneration statements from Enriquez
Engineering must be raised immediately upon receipt of the invoice, but no
later than 10 days after the billing or invoice date, without affecting the
due date. Failure to make timely objections shall be deemed as approval. In
connection with the contract, any potentially incurred expenses are agreed
upon with the customer and invoiced separately. This also applies to
additional project-related or third-party costs.
3. Intellectual Property:
All intellectual property rights (especially copyright) to the project
results remain with Enriquez Engineering. Only after complete payment of the
agreed-upon fees, all rights of use are transferred to the customer.
Enriquez Engineering expressly waives any further remuneration arising from
additional rights to the design. The customer is free to use the design work
by Enriquez Engineering, even if there is no further collaboration. Enriquez
Engineering reserves the right to publish the design work in an appropriate
manner for self-promotion, specifically in trade articles, books, social
networks, or on the website pops.marketing. Enriquez Engineering explicitly
reserves the right to mention the customer's name as a reference. Even after
the project is completed, such work references may not be removed by the
customer unless a complete redesign is carried out by another service
provider. In such a case, it is not permitted to use any work by Enriquez
Engineering or present it as the work of third parties. The transfer of
granted usage rights to third parties and/or multiple uses are separately
subject to remuneration and require the consent of Enriquez Engineering.
Enriquez Engineering is entitled to information regarding the scope of
usage. The data of a completed project belongs to the customer and will be
provided on a data carrier upon request after project
